1. Agreement to terms
These Terms of Service (“Terms”) form a binding agreement between you and MADEBYJJ, LLC (“MadeByJJ,” “we,” “us”), a Delaware limited liability company.
By creating an account, accessing, or using the service at deskwiz.app (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business.
2. Description of the Service
MadeByJJ provides a back-office automation service for small businesses, including:
- Automated responses to customer WhatsApp messages via the WhatsApp Business Platform
- Appointment booking through integrated booking systems (e.g., Vagaro, Square, Cal.com) operated by you or third parties
- Dashboards for monitoring messages, bookings, and Desk activity
- Related tools and features we may add from time to time
We are an independent service provider. We are not affiliated with, endorsed by, or partnered with Meta Platforms, Inc., except as a Tech Provider under Meta’s WhatsApp Business Platform partner program.
3. Eligibility
To use the Service, you must:
- Be at least 18 years old
- Operate a legitimate business
- Have legal capacity to enter contracts
- Not be barred from using the Service under any applicable law
- Comply with all applicable laws in your operation of the Service
We may refuse service to anyone for any lawful reason.
4. Account registration
4.1 Onboarding
You will connect your WhatsApp Business number to the Service through Meta’s Embedded Signup flow, which grants us limited permissions to send and receive messages on your behalf and manage your WhatsApp Business Account assets.
You may also be asked to authorize access to third-party booking systems. You grant us permission to access these systems solely to perform the Service.
4.2 Account security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of unauthorized access at security@madebyjj.com
5. Subscription and fees
5.1 Commercial terms
- Commercial terms are provided during onboarding or in a separate written agreement
- Fees, if applicable, are billed according to that agreement
- All fees are exclusive of taxes; you are responsible for applicable taxes
- WhatsApp conversation fees charged by Meta may be passed through at cost or included as specified in your agreement
5.2 Payment
- Payments are processed by Stripe
- You authorize us to charge your payment method on a recurring basis
- Failed payments may result in suspension after 7 days
5.3 Refunds
Subscription fees are non-refundable except where required by law. Pass-through WhatsApp conversation fees are non-refundable.
5.4 Changes to fees
We may change fees with 30 days’ notice. Changes take effect at the start of your next billing cycle.
6. Your responsibilities and WhatsApp compliance
You acknowledge that you are the business operating the WhatsApp Business Account and are responsible for compliance with all applicable Meta and WhatsApp policies, including:
- WhatsApp Business Messaging Policy: business.whatsapp.com/policy
- WhatsApp Commerce Policy: whatsapp.com/legal/commerce-policy
- Meta Platform Terms and Developer Policies
In particular, you agree to:
- Obtain proper opt-in consent before initiating conversations with customers
- Not use the Service to send spam, unsolicited bulk messages, or marketing without consent
- Not impersonate other businesses or individuals
- Not send prohibited content (illegal goods, drugs, weapons, adult content, etc.)
- Comply with all applicable consumer protection, anti-spam, and privacy laws (TCPA, CAN-SPAM, GDPR, CASL, etc.)
- Respond to end-customer opt-out requests promptly
- Provide accurate business information to Meta and to your customers
- Have a published, accurate privacy policy for your own business
If your account is suspended, paused, or banned by Meta due to policy violations, the Service may become unavailable. We are not responsible for actions taken by Meta against your WhatsApp Business Account.
7. Acceptable use
You may not:
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Resell, sublicense, or white-label the Service without our written agreement
- Use the Service to harass, threaten, or harm any person
- Circumvent rate limits, security measures, or access controls
- Use bots or scripts to access the Service except through our published APIs
- Use the Service to compete with us or build a competing product
- Engage in fraudulent activity
- Violate any applicable law or third-party rights
We may suspend or terminate accounts that violate this section.
8. Content and data
8.1 Your content
You retain ownership of all data you submit to the Service, including end-customer messages, business information, and configuration. You grant us a limited license to process this data solely to provide the Service.
8.2 Our content
The Service itself, including software, designs, text, and branding, is owned by MadeByJJ and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.
8.3 Feedback
If you provide feedback or suggestions, we may use them without obligation to you.
9. Automated responses
The Service uses automated systems and third-party service providers to send replies to end-customer messages on your behalf. You acknowledge that:
- Replies may contain errors or inaccuracies
- You are responsible for reviewing your Desk configuration and conversation logs
- You should not use the Service for high-stakes communications without human review (e.g., medical advice, legal advice, financial advice)
- We provide tools to pause replies and hand off to human review
You agree to indemnify us for damages arising from replies sent under your account.
10. Service availability
We strive for high availability but do not guarantee uninterrupted Service. We may:
- Perform scheduled maintenance with reasonable notice
- Suspend the Service for security or compliance reasons
- Modify or discontinue features with notice
The Service depends on third-party platforms and providers, including Meta, automation infrastructure providers, and your booking systems. We are not responsible for outages or changes to those platforms.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- The Service will be uninterrupted or error-free
- Replies will be accurate or appropriate
- The Service will meet your specific business requirements
- Third-party platforms will continue to work with our Service
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MADEBYJJ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES ARISING FROM GENERATED CONTENT, THIRD-PARTY OUTAGES, OR META POLICY ENFORCEMENT ACTIONS
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow these limitations; in those cases, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify and hold harmless MadeByJJ from any claims, damages, or expenses (including attorneys’ fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of WhatsApp / Meta policies
- Your violation of applicable laws
- Content sent through the Service under your account
- Your end-customers’ claims related to messages sent on your behalf
14. Termination
14.1 By you
You may cancel your subscription at any time through your dashboard or by emailing support@madebyjj.com. Cancellation takes effect at the end of the current billing period.
14.2 By us
We may terminate your access if:
- You breach these Terms
- Your WhatsApp Business Account is banned or suspended by Meta
- You fail to pay fees
- We are required by law to terminate
- We discontinue the Service (with 30 days’ notice)
14.3 Effects of termination
Upon termination:
- Your access to the Service ends
- Your data will be retained per the retention schedule in our Privacy Policy
- You can request export of your data within 30 days
- Outstanding fees remain due
Sections 6, 7.1, 8.1, 9, 10–13, 15, and 17 survive termination.
15. Dispute resolution
15.1 Informal resolution
Before filing any formal dispute, contact us at legal@madebyjj.com. We will attempt to resolve the dispute informally within 60 days.
15.2 Arbitration
Any unresolved dispute will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Wilmington, Delaware or via video. Judgment on the award may be entered in any court of competent jurisdiction.
15.3 Class action waiver
You waive any right to participate in class actions or class arbitrations against MadeByJJ.
15.4 Exceptions
Either party may seek injunctive relief in court for intellectual property violations or unauthorized access to the Service.
16. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
17. General provisions
17.1 Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
17.2 Changes
We may update these Terms. Material changes will be notified with 30 days’ notice via email and on deskwiz.app. Continued use after the effective date constitutes acceptance.
17.3 Severability
If any provision is unenforceable, the rest of the Terms remain in effect.
17.4 No waiver
Failure to enforce a provision is not a waiver of our rights.
17.5 Assignment
You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.6 Force majeure
Neither party is liable for failures caused by events beyond reasonable control.
